Company Director Fundamentals Programme 2026

The Company Director Fundamentals (CDF) programme is a director-training programme jointly developed by the Accounting and Corporate Regulatory Authority (ACRA) and the Singapore Institute of Directors (SID). ACRA announced the partnership on 28 August 2026, describing the programme as a way to strengthen director capability and corporate-governance standards across Singapore's business community (ACRA, 28 August 2026).

Programme structure

CDF is organised in two phases. CDF 101 consists of six complimentary modules that provide a practical foundation in directors' legal, fiduciary and governance responsibilities. CDF 201 consists of four paid modules that deepen capability in areas relevant to board stewardship, organisational resilience and long-term business performance (ACRA, 28 August 2026). The modules are designed to be bite-sized so that directors can learn at their own pace, and ACRA describes the route as supporting directors across companies with different ownership structures, sizes and stages of growth. “Complimentary” applies to the CDF 101 modules described by ACRA; it does not make the entire ten-module route free or establish that every director needs to complete every module.

Delivery and supporting institutions

SID, described by ACRA as Singapore's national institute for directors, will deliver the programme to participants. ACRA and SID are developing it with support from RSM Singapore and Rajah & Tann Singapore LLP. A multi-agency working group involving the CPF Board, the Inland Revenue Authority of Singapore and the Workplace Safety and Health Council will support development and periodic review (ACRA, 28 August 2026). This arrangement gives the programme input from corporate, tax, social-security and workplace-safety perspectives, but the announcement describes those bodies as supporting development and review. It does not turn CDF into a new regulator or transfer their statutory functions to SID.

Registration and completion

ACRA says CDF is planned to open for registration in October 2026. Participants who complete all ten CDF modules will receive a Certificate of Completion from both ACRA and SID (ACRA, 28 August 2026). The announcement is a programme launch and planned registration date, not evidence that registration was already open on 28 August. The certificate is issued after completion of the ten-module route; it is not described as a professional licence or as proof that a company’s filings are compliant. It also does not say that completing CDF is a universal statutory prerequisite for appointment as a company director.

Governance role and boundaries

CDF is intended to give directors practical knowledge of legal, fiduciary and governance responsibilities and to improve baseline governance competencies across companies of different ownership structures, sizes and stages of growth (ACRA, 28 August 2026). It is an education and capability-building programme, not a replacement for the Companies Act, directors' actual duties, professional advice, or ACRA's corporate-regulatory functions. The supporting agencies' participation likewise does not create a cross-agency approval or clearance process for directors. SID may also offer a separate director-accreditation programme; ACRA says directors may qualify for that accreditation through completion of CDF 101 and CDF 201, which should not be confused with the CDF certificate itself.

What completing CDF does not change

CDF completion does not transfer legal responsibility from a director to ACRA or SID. ACRA states that the Companies Act duties apply to executive, non-executive and nominee directors, including keeping proper accounting records, preparing financial statements unless exempt, holding annual general meetings unless exempt, filing annual returns, and keeping company information and registers current (ACRA, directors' duties, updated 3 February 2026). ACRA also says changes to company information, officers and shareholders must generally be reported within 14 days, subject to the relevant filing rule (ACRA, directors' duties, updated 3 February 2026). These are statutory compliance obligations, not CDF assessment criteria or optional benefits of taking the course.

The distinction matters for retrieval: a certificate may demonstrate participation in a capability programme, but it is not a licence to act as a director, a defence to a Companies Act breach, or proof that a company has complied with annual filing and financial-reporting duties. The live ACRA requirements and the company's facts control those questions; CDF's announced October 2026 registration plan should not be converted into a universal appointment prerequisite (ACRA, 28 August 2026).
